By signing up for Pinnova Fleet Intelligence, your school district agrees to the following terms. Plain-language summary up front; full text below.
"Pinnova" is the Pinnova Fleet Intelligence SaaS operated by Jenavus LLC ("Company", "we"). It provides dispatch, routing, driver, and parent-portal functionality for K-12 school-district transportation programs.
You represent that you have authority to bind the school district to these terms. You are responsible for keeping login credentials safe. The district is responsible for what its users do in the platform. Notify us immediately at security@pinnovatms.com of any suspected unauthorized access.
$150 USD per active bus, per month. Billed monthly in advance by Stripe to the payment method on file. The count of active buses is locked on the 1st of each month; changes between the 1st and 31st roll into the following cycle. Taxes (if applicable) are additional.
You may cancel at any time from the billing portal. Cancellation is effective at the end of the current paid period — no proration. For 30 days after cancellation, your data remains available for export. After 30 days, operational data (buses, routes, students, dispatches) is deleted. FERPA audit logs are retained separately for 7 years (see Privacy Policy §4.5).
The school district owns its district data and student education records. Pinnova holds a limited, non-exclusive license to process that data solely to provide the service. We do not sell, rent, or share district data with third parties except the sub-processors listed in the Privacy Policy (§8).
You agree not to:
We may suspend or terminate service for violations, subject to written notice where feasible.
We target 99.5% monthly uptime. Scheduled maintenance is announced in advance. Planned downtime does not count against the uptime target.
Pinnova is provided "as is". We make no warranty that the service will be uninterrupted, error-free, or that routing suggestions will be optimal in every edge case. Districts are responsible for reviewing and approving dispatch decisions.
To the maximum extent permitted by law, Company's aggregate liability for any claim is limited to the fees the district paid us in the twelve months preceding the claim. We are not liable for indirect, consequential, or punitive damages.
The district agrees to defend and indemnify Company against third-party claims arising from the district's misuse of the service or breach of these terms — except where the claim results from our gross negligence or willful misconduct.
These terms are governed by the laws of the Commonwealth of Virginia, excluding its conflict-of-laws principles. Any dispute not resolved in good-faith negotiation within 60 days may be submitted to binding arbitration in Alexandria, VA, under the AAA Commercial Rules. Either party may seek injunctive relief in court for IP or confidentiality violations without first arbitrating.
Material changes are announced 30 days in advance via admin dashboard + email. Continued use of the service after the effective date constitutes acceptance. If you do not accept, you may cancel (§4) before the effective date.
